Before using the SteelSQL website, software, or related applications (hereinafter referred to as the "Services"), please carefully read and comply with the SteelSQL Terms of Service. It is essential that you thoroughly review and fully understand all terms, especially those that exempt or limit the liability of Hangzhou Pengtian Data Information Co., Ltd. (hereinafter referred to as "SteelSQL Company"), restrict user rights, or pertain to applicable laws and jurisdiction. Limitations, disclaimers, or other clauses involving your significant rights may be highlighted in bold or other forms for emphasis.

Unless you have read and accepted all terms of this agreement, you are not authorized to access, download, install, or use the Services or related features. Your access, download, installation, use, acquisition of a SteelSQL account, login, or any other interaction with the Services constitutes your acknowledgment and acceptance of all terms of this agreement. This agreement becomes legally binding between you and SteelSQL Company and serves as a legally enforceable document for both parties.

If you are under 18 years of age or otherwise lack full legal capacity, please read this agreement under the guidance of a legal guardian and ensure their consent before using SteelSQL services. You and your guardian shall bear the legal consequences arising from agreeing to this agreement and using SteelSQL services in accordance with applicable laws.

1. Scope of the Agreement
1.1 Applicable Parties
This agreement governs the relationship between you and SteelSQL Company regarding your use of SteelSQL services, including but not limited to website access, downloading, installing, using, or copying SteelSQL software/applications (hereinafter referred to as the "Application").

1.2 Agreement Hierarchy and Conflicting Clauses
This agreement includes any additional terms, business rules, or policies SteelSQL Company may issue regarding the Services. Once officially published, such content becomes an integral part of this agreement, and you must comply with it accordingly.

2. About the Services
2.1 Description of the Services
2.1.1 The Services refer to the database management application and related services provided by SteelSQL Company (hereinafter referred to as "SteelSQL").

2.1.2 The Services grant you a license to use the SteelSQL Application and its online features but do not transfer ownership or other rights. Upon accepting this agreement, we grant you the right to use the Application and online services on authorized devices. If the license expires or is terminated and not renewed, you may no longer access SteelSQL services.

2.2 License Types
2.2.1 Free Version: You may download the SteelSQL Application from SteelSQL’s official website or authorized third parties. Users may use the free features on authorized computers or mobile devices during the free license period. The free version is for personal use only and may not be used for commercial purposes, including but not limited to internal company use, commercial project management, or paid consulting services.

2.2.2 Subscription Version: You may purchase a subscription version of the SteelSQL Application from SteelSQL’s official website or authorized third parties. The subscription is for personal use only and may not be used for commercial purposes. Subscription plans (e.g., Pro) may include different features, services, and management tools as specified at the time of purchase. You may bind the subscription to 1 authorized MAC/PC and 5 iOS/Android devices (device changes require SteelSQL approval). An internet connection is required for activation, updates, and license verification.

2.2.3 Small & Medium Business (SMB) Version: The SMB version may only be used within the purchasing company on authorized computers and may not be resold or licensed to external parties.

2.2.4 Enterprise Version: The Enterprise version may only be used internally and may not be resold or licensed to external parties.

2.2.5 Public Beta Version: SteelSQL may occasionally release beta versions with experimental features for user feedback on quality and usability. Beta versions are for personal use only and may not be used commercially. Participation is voluntary, and SteelSQL reserves the right to restrict or revoke access. Beta features may contain errors, inaccuracies, or cause file/crash issues. You acknowledge and assume all risks associated with beta use. SteelSQL is not obligated to provide beta versions and may freely use any feedback you submit.

2.3 License Scope
2.3.1 This agreement does not cover SteelSQL Applications installed on terminal servers or virtual environments. Separate licensing is required for virtualized deployments.

2.3.2 SteelSQL may modify features, components, versions, platforms, or languages for any license type without liability.

2.3.3 Organizations may not distribute free or subscription versions for collective use. SteelSQL reserves the right to take legal action against such misuse.

2.3.4 SteelSQL may periodically verify licenses. Unverified or invalid licenses may result in service termination without notice.

2.3.5 Refunds for subscription, SMB, or Enterprise versions may restrict repurchasing the same product for 1 month due to backend processing delays.

2.3.6 Unless expressly permitted, you may not distribute, rent, lease, or sublicense the SteelSQL Application.

2.3.7 You may make one backup copy of the Application, retaining all copyright notices.

2.3.8 All rights not expressly granted herein are reserved by SteelSQL.

2.3.9 Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

2.3.10 We offer a 14 day refund policy if you’re unhappy for any reason.

3. Obtaining the Application
3.1 You may download the SteelSQL Application from SteelSQL’s official website or authorized third parties.

3.2 Subscription, SMB, and Enterprise versions may be purchased via SteelSQL’s website or authorized third parties.

3.3 SteelSQL does not guarantee functionality or assume liability for Applications obtained from unauthorized sources.

4. Installation & Uninstallation
4.1 SteelSQL may offer different versions for different devices; select the appropriate version for your needs.

4.2 Follow installation prompts after downloading.

4.3 SteelSQL may recommend additional software during installation; installation is optional.

4.4 You may uninstall the Application at any time. Feedback on uninstallation reasons is appreciated.

5. Updates
5.1 SteelSQL may update the Application to improve functionality, including replacements, modifications, or upgrades.

5.2 SteelSQL may update the Application without prior notice to ensure security and consistency.

5.3 Older versions may become unsupported after updates; always use the latest version.

6. Collaboration Services
6.1 Collaboration allows users to store, share, and co-edit files via SteelSQL servers.

6.2 Users must ensure uploaded content complies with this agreement and applicable laws. SteelSQL is not liable for user-uploaded content.

6.3 SteelSQL employs reasonable security measures but is not liable for data loss due to force majeure or third-party actions. Users should back up critical files.

7. Personal Data Protection
7.1 SteelSQL prioritizes user data protection and implements reasonable security measures. Personal data will not be disclosed to third parties without consent, except as required by law.

7.2 You must provide accurate registration information; incomplete data may restrict service access.

7.3 You may modify submitted information, but initial registration details (e.g., for identity verification) may be unchangeable.

7.4 SteelSQL uses encryption and security protocols to safeguard your data.

7.5 Personal data will not be shared outside SteelSQL without your consent, unless legally mandated.

7.6 SteelSQL uses proprietary encryption for output files and cannot assist with decryption or password recovery. You are solely responsible for encrypted file security.

7.7 Usage data is transmitted to SteelSQL servers via encryption.

7.8 Minors under 18 must obtain parental/guardian consent before using SteelSQL services.

7.9 Refer to the SteelSQL Privacy Policy for details on data collection, usage, and rights.

8. Key Rights & Obligations
8.1 Third-Party Products/Services
8.1.1 Use of third-party services requires compliance with their terms. SteelSQL and third parties are independently liable for disputes within legal bounds.

8.1.2 SteelSQL does not guarantee the security, accuracy, or reliability of third-party services accessed via the Application.

8.1.3 SteelSQL may use the Application for commercial purposes (e.g., promotions) while protecting your data. You may opt out of promotional communications.

8.2 User Feedback
8.2.1 Feedback is voluntary. By submitting feedback, you grant SteelSQL a perpetual, irrevocable, transferable, and unrestricted license to use it globally for any purpose. Ensure feedback contains no confidential or copyrighted material.

8.3 Disclaimer
8.3.1 You use the Application at your own risk. SteelSQL does not guarantee uninterrupted, error-free, or defect-free service.

8.3.2 SteelSQL is not liable for Application malfunctions, delays, or inaccuracies. Report defects promptly; no compensation will be provided.

9. Intellectual Property
9.1 SteelSQL owns all intellectual property (IP) rights in the Application and Services, including copyrights, trademarks, patents, and trade secrets, protected under Chinese and international laws.

9.2 Without written consent, you may not use, transfer, or license SteelSQL’s IP for any purpose.

10. Device Security
10.1 The Application, like most internet services, may be affected by user actions, network quality, or security threats (e.g., malware). Protect your data and passwords.

10.2 Do not develop or distribute malicious programs targeting SteelSQL accounts or user data.

10.3 SteelSQL employs industry-standard security measures but cannot guarantee absolute safety.

10.4 Exercise caution with financial requests (e.g., passwords, payments) and heed SteelSQL’s fraud prevention advisories.

11. Third-Party Technologies
11.1 The Services may incorporate legally licensed third-party technologies (e.g., open-source code).

11.2 Third-party terms (e.g., licenses, agreements) are incorporated herein. Non-compliance may result in legal action against you.

11.3 SteelSQL is not responsible for third-party disputes or support; contact the third party directly.

12. Miscellaneous
12.1 Continued use after agreement modifications constitutes acceptance.

12.2 Governing Law: Laws of the People’s Republic of China (excluding conflict laws).

12.3 Dispute Resolution: Negotiation first; unresolved disputes shall be submitted to the courts in Xiaoshan District, Hangzhou, Zhejiang, China.

12.4 Section headings are for convenience only and do not affect interpretation.

12.5 The Chinese version prevails in case of discrepancies with other language versions.

12.6 If any clause is invalid or unenforceable, the remainder remains binding.
