PLEASE CAREFULLY READ THIS AGREEMENT BEFORE USING THE STEELSQL SOFTWARE/APPLICATION (HEREINAFTER REFERRED TO AS THE “SOFTWARE”). BY COPYING, INSTALLING, OR USING ALL OR ANY PORTION OF THE STEELSQL SOFTWARE, YOU (HEREINAFTER REFERRED TO AS THE “CUSTOMER”) ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. THE CUSTOMER AGREES THAT THIS AGREEMENT HAS THE SAME EFFECT AS ANY WRITTEN AGREEMENT SIGNED BY THE CUSTOMER THROUGH NEGOTIATION. THIS AGREEMENT IS ENFORCEABLE AGAINST THE CUSTOMER. IF THE CUSTOMER DOES NOT ACCEPT THE TERMS OF THIS AGREEMENT, THE CUSTOMER SHALL NOT USE THE STEELSQL SOFTWARE. THE CUSTOMER MAY ENTER INTO A SEPARATE WRITTEN AGREEMENT WITH STEELSQL LTD. (HEREINAFTER REFERRED TO AS “STEELSQL”) (E.G., A BULK LICENSE AGREEMENT) TO SUPPLEMENT OR REPLACE ALL OR ANY PART OF THIS AGREEMENT. THE STEELSQL SOFTWARE IS LICENSED FOR USE ONLY IN COMPLIANCE WITH THE TERMS OF THIS AGREEMENT AND MAY NOT BE SOLD. ## Introduction Welcome to **SteelSQL**. - Before using the **SteelSQL** website, software, or related applications (hereinafter referred to as the “Service”), please carefully read and comply with the [SteelSQL Terms of Service](https://steelsql.com/legal). Please carefully read and fully understand the contents of each clause, especially those that exempt or limit the liability of **Hangzhou Pengtian Data Information Co., Ltd.** (hereinafter referred to as “**SteelSQL** Company”), restrict user rights, or pertain to the applicable law and jurisdiction. Restrictive, disclaimer clauses, or other clauses involving your significant rights and interests may be highlighted in bold type to draw your attention. - Unless you have read and accepted all the terms of this Agreement, you are not entitled to access, download, install, or use this service and its related features. Your access to, download, installation, use, acquisition of a **SteelSQL** account, login, or other actions regarding this service shall be deemed as your acknowledgment that you have read and agreed to all terms of this Agreement. This Agreement shall be legally binding between you and **SteelSQL** Company and shall constitute a legally binding document for both parties. - If you are under 18 years of age or otherwise lack full legal capacity, please read this Agreement under the supervision or guidance of your legal guardian and use **SteelSQL** services only after ensuring that your guardian agrees to the terms of this Agreement. You and your guardian shall assume the corresponding legal consequences arising from agreeing to this Agreement and using **SteelSQL** services in accordance with applicable laws and regulations. ## 1 Scope of the Agreement ### 1.1 Scope of Applicable Parties This Agreement is an agreement between you and **SteelSQL** Company regarding your use of **SteelSQL** Company's related services, including but not limited to website access, downloading, installing, using, and copying **SteelSQL** software/applications (hereinafter referred to as “Applications”). ### 1.2 Agreement Relationship and Conflicting Provisions The content of this Agreement also includes any related agreements, business rules, and other content that **SteelSQL** Company may continuously publish regarding this service. Once officially published, such content shall constitute an integral part of this Agreement, and you shall also comply with it. ## 2 About This Service ### 2.1 Content of This Service 1. This service refers to the database management application and related services provided by **SteelSQL** to users (hereinafter referred to as “**SteelSQL**”). 2. This service provides you with a license to use the **SteelSQL** application, but does not include the transfer of ownership or other rights to the application. After you agree to all terms of this Agreement, we will grant you the right to use the application on authorized devices through a license. Upon expiration or termination of the license term, if you do not renew the license, you may no longer be able to use the **SteelSQL** application and related services. ### 2.2 Scope of the Service License 1. This Agreement does not apply to any **SteelSQL** application installed on a terminal server or any other virtual environment. You may not use the **SteelSQL** application from other computers via a network connection. You must enter into a separate license agreement with **SteelSQL** to obtain the right to deploy this application in a virtual environment. 1. You agree that **SteelSQL** may, at any time, modify the available features of the free version and subscription version applications, as well as the types of applications included (e.g., related components, versions, platforms, languages, etc.), without incurring any liability to you for such modifications. 2. **SteelSQL** applications will periodically verify your license. If the license cannot be verified or is found to be invalid, the application may cease to function without further notice. 3. Unless expressly permitted, you may not distribute (including but not limited to public distribution), rent, lease, or sublicense the **SteelSQL** application to any third party. 4. You may make one copy of the application for the purpose of using the application and services, solely for backup purposes. The backup copy must include all copyright information contained in the original application. 5. All rights not expressly granted in this Agreement are reserved by **SteelSQL**. You must obtain **SteelSQL**'s written permission to exercise such rights. **SteelSQL**'s failure to exercise any of the foregoing rights shall not constitute a waiver of such rights. ## 3 Obtaining the Application 1. You can obtain the **SteelSQL** application directly from the **SteelSQL** company website, or from a third party authorized by **SteelSQL**. 1. You can purchase a subscription version of the application from the **SteelSQL** company website, or from a third party authorized by **SteelSQL**. 1. If you obtain or purchase this application or an installation program with the same name as this application from an unauthorized third party, **SteelSQL** Company cannot guarantee that the application will function properly and shall not be liable for any losses incurred as a result. ## 4 Application Installation and Uninstallation 1. **SteelSQL** may have developed different application versions for different terminal devices. You should select and download the appropriate version for installation and use based on your actual circumstances. 1. After downloading the installation program, you must follow the steps prompted by the program to install it correctly. 1. To provide better and safer services, **SteelSQL** Company may recommend that you install other applications during the installation of this application. You may choose whether to install these recommended applications based on your personal needs. 1. If you no longer need to use this application or wish to install a new version, you may uninstall it yourself. If you are willing to help **SteelSQL** Company improve its products and services, please inform us of the reason for uninstallation. ## 5 Application Updates 1. To improve the user experience and enhance service content, **SteelSQL** Company will continuously strive to develop new services and provide you with application updates from time to time (these updates may take the form of application replacements, modifications, feature enhancements, version upgrades, etc.). 1. To ensure the security and consistency of this application and its services, **SteelSQL** Company reserves the right to update the application without prior notice to you, or to modify or restrict certain functionalities of the application. 1. After the release of a new version of the application, the old version may no longer be usable. **SteelSQL** Company does not guarantee the continued availability of the old version of the application or the corresponding services. Please check and download the latest version at any time. ## 6 Protection of User Personal Information 1. Protecting user personal information is a fundamental principle of **SteelSQL** Company. **SteelSQL** Company will take reasonable measures to protect user personal information. Except as required by law, **SteelSQL** Company will not disclose or reveal user personal information to third parties without the user's consent. **SteelSQL** Company uses professional encryption methods for storage and transmission of relevant information to ensure the security of user personal information. 1. During the process of registering an account or using this service, you will need to provide some necessary information. If national laws, regulations, or policies have special provisions, you must provide authentic identity information. If the information you provide is incomplete, you may not be able to use this service or may face restrictions during use. 1. Generally, you may view and modify the information you have submitted at any time. However, for security and identity verification purposes (such as number appeal services), you may not be able to modify the initial registration information and other verification information provided during registration. 1. **SteelSQL** will use various security technologies and procedures to establish a sound management system to protect your personal information from unauthorized access, use, or disclosure. 1. Without your consent, **SteelSQL** will not disclose your personal information to any company, organization, or individual outside of **SteelSQL**, except as otherwise provided by law. 1. **SteelSQL** uses a special encryption method for encrypted output files. Customers agree and understand that **SteelSQL** cannot provide decryption, password recovery, or other services. You are solely responsible for the confidentiality and security of your encrypted files and are fully liable for all actions related to your encrypted files. **SteelSQL** shall not be liable for any losses arising from damaged encrypted files or forgotten passwords. 1. Customer usage data will be transmitted to **SteelSQL** servers via an encrypted method. 1. **SteelSQL** places a high priority on protecting the personal information of minors. If you are under the age of 18, you must obtain written consent from your parent or legal guardian before using **SteelSQL**'s services. 1. For more information on how **SteelSQL** collects, uses, stores, and protects your personal information, as well as the rights you possess, you may refer to the [SteelSQL Privacy Agreement](https://steelsql.com/policy) for further details. ## 7 Main Rights and Obligations ### 7.1 Third-Party Products and Services 1. When using products or services provided by third parties, in addition to complying with the terms of this Agreement, you must also comply with the user agreements of such third parties. **SteelSQL** and the third parties shall each bear responsibility for any disputes that may arise within the scope of applicable laws and agreements. 2. When users use this application or request **SteelSQL** Company to provide specific services, this application may access third-party systems or utilize third-party support for user access or usage. The results of such access or usage are provided by the third party. **SteelSQL** Company does not guarantee the security, accuracy, validity, or other uncertainties associated with services or content provided through third parties. Any disputes or damages arising therefrom are unrelated to **SteelSQL** Company, and **SteelSQL** Company shall not be liable for any such disputes or damages. 3. You understand and agree that **SteelSQL** Company has the right to determine the use of certain services originally intended for commercial purposes, including but not limited to development and use, for third-party promotions, etc. **SteelSQL** Company commits to strictly protect your personal information in accordance with the terms of this Agreement during the promotion process. You may also choose to block or refuse to receive related promotional information through system settings. ### 7.2 Customer Feedback 1. Customers are under no obligation to provide suggestions or feedback to **SteelSQL**. If you submit feedback to **SteelSQL**, it means that your feedback is provided to **SteelSQL** free of charge, and you grant **SteelSQL** a perpetual, irrevocable, transferable, unrestricted license to use and exploit your feedback for any purpose worldwide. Please ensure that your feedback does not contain any confidential or copyrighted information belonging to you or third parties. ### 7.3 Disclaimer 1. You understand and agree that your use of **SteelSQL** applications is at your own risk, and you assume all risks related to quality satisfaction, performance, accuracy, and results. **SteelSQL** does not guarantee that you will be able to use the **SteelSQL** application without interruption, that the functions it contains will meet your requirements, that the operations it provides will be uninterrupted or error-free, or that any defects in the **SteelSQL** application will be corrected. 2. You understand and agree that if the **SteelSQL** application experiences failures, delays, or errors or inaccuracies in the content, data, or information provided, you shall promptly use other methods or tools to handle the matter, and **SteelSQL** shall not be liable for such matters. If you discover any defects in the **SteelSQL** application, you should promptly report them to **SteelSQL**. You may not seek compensation from **SteelSQL** for any defects in the **SteelSQL** application. ## 8 Intellectual Property Rights Statement 1. **SteelSQL** Company is the intellectual property rights holder of this application and related services. All copyrights, trademark rights, patent rights, trade secrets, and other intellectual property rights related to this application and related services, as well as all information content related to this application (including but not limited to text, images, audio, video, charts, interface designs, page layouts, related data, or electronic documents) are protected by the laws and regulations of the People's Republic of China and relevant international treaties. **SteelSQL** Company holds the aforementioned intellectual property rights, except for rights that the relevant rights holders are entitled to under the law. 1. Without the prior written consent of **SteelSQL** Company or the relevant rights holders, you may not, for any commercial or non-commercial purpose, use or license any third party to implement, use, or transfer the aforementioned intellectual property rights. 1. All content uploaded or posted by you during the use of this application and related services shall not result in the transfer of intellectual property rights, portrait rights, or other rights due to the act of uploading or posting. ## 9 Terminal Security Responsibility 1. You understand and agree that, like most internet applications, this application may be affected by various factors, including but not limited to user-related issues, network service quality, and social environment; it may also be subject to various security issues, including but not limited to unauthorized use of user data by third parties or real-world harassment. Other applications downloaded and installed by users or other websites accessed by users may contain viruses, worms, or other malicious programs that threaten the security of your terminal device information and data, thereby affecting the normal use of this application. Therefore, you should strengthen your awareness of information security and personal information protection, pay attention to password protection, and avoid suffering losses. 1. You must not create, publish, use, or disseminate malicious programs intended to steal **SteelSQL** accounts, functional accounts, or others' personal information and property. 1. Maintaining service security and normal use is a shared responsibility between **SteelSQL** Company and you. **SteelSQL** Company will take necessary technical measures in accordance with industry standards to protect the security of your terminal device information and data, but you acknowledge and agree that **SteelSQL** Company cannot provide a complete guarantee in this regard. 1. Under no circumstances should you trust online information related to borrowing money, requesting passwords, or other property-related matters. For any property-related transactions, please verify the other party's identity first and regularly review **SteelSQL** Company's tips on preventing fraud-related crimes. ## 10 Third-Party Usage or Technology 1. The Service may use third-party applications or technologies (including open source code and public domain code, etc., which may be used in the Service; hereinafter, the same applies), and such use is legally authorized. 2. If third party applications or technologies are used in the Service, **SteelSQL** will, in accordance with relevant laws and regulations or agreements, display the related agreements or other files, which may be attached to this Agreement, packaged in a specific folder of the Service's related application packages, or through an open source user interface, etc., which may be displayed in the form of a “License Agreement,” “Service Agreement” or “Service Agreement,” or in the form of “Service Agreement,” or "Service Agreement. They may be presented in the form of “License Agreement”, “Terms of Service”, “License Agreement”, “Open Source License” or other forms. The aforementioned agreements, other files and websites expressed in various forms are an integral part of this Agreement and have the same legal effect as this Agreement, and you should comply with these requirements. If you fail to comply with these requirements, such third party or state authority may file a lawsuit, impose a fine or take other sanctions against you and request assistance from **SteelSQL**, and you shall bear the legal responsibility yourself. 3. **SteelSQL** shall not be liable for any disputes arising out of the use of third party applications or technologies in connection with the Service, which shall be resolved by such third party. **SteelSQL** does not provide customer support for third party applications or technologies. If you need support, please contact the third party. ## 11 Others 1. By using the Service, you are deemed to have read and agreed to be bound by this Agreement. **SteelSQL** reserves the right to modify the terms of this Agreement as necessary. You may review the terms of this Agreement in the latest version of the Application. If you continue to use the Service after the terms and conditions of this Agreement have been changed, you will be deemed to have accepted the revised Agreement. If you do not accept the revised terms of this Agreement, you should refrain from using this application. 1. The place where this Agreement is signed is Xiaoshan District, Hangzhou City, Zhejiang Province, the People's Republic of China. 1. The laws of the mainland China (excluding conflict of laws) shall govern the creation, validity, performance, interpretation, and resolution of disputes in connection with this Agreement. 1. In the event that any dispute or controversy arises between you and **SteelSQL**, you shall first resolve the dispute or controversy by amicable negotiation; in the event that such negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of a court of law of the place of signing of the Agreement that has jurisdiction over the dispute or controversy. 1. The headings of all provisions of this Agreement are for convenience only and have no actual meaning in and of themselves, and cannot be relied upon for the interpretation of the meaning of this Agreement. 1. 1. There may be multiple language versions of this Agreement, including Chinese and English, and in the event of a conflict between the Chinese version and any other language version, the Chinese version shall control. 1. If any provision of this Agreement is partially invalid or unenforceable for any reason, the remaining provisions shall remain in force and shall be binding on both parties. (End)
